Constitution and BY-LAWS
Article I - NAME
The name of this golf club shall be FILAM NJ GOLFERS ASSOCIATION.
Article II - PURPOSE
FIRST: To bring together a group of Filipino American Golfers desirous of joining golf tournaments and be able to satisfy their passions in playing the game of golf.
SECOND: To promote and foster among the members a closer bond of friendship and brotherhood by acting together as one family for their mutual benefit and interest.
THIRD: To encourage conformance to the USGA Rules of Golf by creating a representative authority.
FOURTH: To maintain a uniform system of handicapping as set forth in the USGA Handicap System and issue USGA Handicap Indexes to the members.
FIFTH: To provide an authoritative body to govern and conduct golf competitions.
SIXTH: To enhance the refinement of one’s value and character by keeping in mind that golf is a gentleman’s game reflective of the players’ personality and behavior.
Article III - MEMBERSHIP
Section 1. Membership shall be available to all men and women 18 years of age or older. There shall be at least 10 members with a maximum membership of 72.
Section 2. Membership in the club are individual and non-transferable.
Section 3. Only golfers with reasonable and regular opportunity to play golf with fellow members and whom can personally return scores for posting may receive USGA Handicap Indexes from the club.
Section 4. Membership in the club is lifetime terminated only upon resignation and expulsion.
Section 5. The fiscal year for the club will be December 16 through December 15.
Section 6. Each candidate for membership shall be proposed and seconded by two active members in good standing. The Board of Directors shall act upon each proposal by vote and two negative votes shall disqualify any candidate.
Section 7. The Board of Directors may confer honorary membership upon those whom they feel have contributed to the advancement of golf. The unanimous affirmative vote of the Board shall be required to approve such action.
Section 8. In the event that any member of the club shall commit any act which reflects discredit or dispute thereon or shall refuse or neglect to comply with the rules and regulations adopted by the Board of Directors or the duly appointed officers, such member shall be subject to suspension or expulsion after (ten days) written notice and the right to be heard, by a vote of two thirds of the Board of Directors at any regular meeting of special meeting called for such purposes.
Section 9. The annual meeting of the FILAM NJ GOLFERS ASSOCIATION shall be held before or during the championship game. The Board of Directors shall provide for the holding of such other meetings as may be deemed necessary or desirable.
Section 10. A legal quorum at any meeting shall be twenty members present.
Section 11. All fees and dues shall be established by the Board of Directors from time to time in such amounts as they deem to be adequate to operate and maintain the club. Members shall be liable for dues until their written resignation has been received and accepted. All fees collected shall accrue to the benefit of the club and its members.
Article IV - BOARD OF DIRECTORS
Section 1. The Board of Directors shall consist of nine (13) members in good standing of the FILAM NJ GOLFERS ASSOCIATION and they shall exercise all powers of management of the club not specifically excepted by these By-Laws.
Section 2. At least five weeks prior to annual meeting, the board of Directors shall appoint a nominating committee consisting of good standing five members of the organization. At least one week prior to the Annual Meeting, this committee shall submit to the Board the list of nominees to fill any vacancies for the term of office beginning on the day of the meeting. Names of other members in good standing may be nominated by petition signed by at least (ten) members and submitted to the Board at least one week prior to the Annual Meeting.
Section 3. Voting shall be by written ballot and those names receiving the greatest number of vote cast shall be declared to be elected. The Board shall appoint a committee of three judges who are not members of the Board of candidates for election to supervise the election.
Section 4. The board of Directors shall meet just after every scheduled tournament and at such times and places as they may select and a majority of the Board shall constitute a quorum at any meeting.
Section 5. In the case of vacancy through death, resignation, disqualification or other cause, the remaining directors, even though less than a quorum, may elect a successor by majority vote to hold office for the unexpired term of the director whose place shall be vacant, and until the election of his successor.
Article V - OFFICERS AND COMMITTEES
Section 1. Within 7-15 days after the annual meeting and election, the Board of directors shall meet and elect or appoint the officers formed among themselves.
Section 2. The officers shall consist of president, vice-president, secretary, treasurer, assistant treasurer, auditor, and their duties shall be such as their titles would indicate or such as may be assigned to them respectively from time to time.
Section 3. The Board of Directors shall authorize and define the powers and duties of all committees. Chairman and members of all committees shall be appointed by the president and the president shall be an ex-officio member of all committees except the nominating committee.
Section 4. Except as modified by the board of Directors, all appointed committees shall function as recommended in the USGA Golf Committee Manual. The following committees shall be appointed each year, with such other committees as the president may deem necessary or advisable.
Tournament Committee - Arrange and schedule golf tournaments in coordination with the golf course venue negotiator and the management of the golf course.
Handicap Committee - Composed primarily of members or officer with responsibility to establish a fair and proper system of handicaps in accordance with procedures set forth in the USGA Handicap System Manual.
Membership Committee - Investigate and act upon all applications for Membership, update member information from time to time and to recommend appropriate action to the board of Directors.
Socials Committee -In charge of the program and venue for the awards night and christmas party with the approval by the board of directors. Encourage and arrange social and entertainment features and events for special occasions.
Rules and Regulations Committee - Identify, interpret and settle disputes pertaining to the translation of USGA golf rules.
Awards Committee- In charge of trophies, awards and prizes.
Web masters- In charge of the web site.
Article VI - TOURNAMENTS
Section 1: Golf tournament venue courses shall be arranged or negotiated by the vice president or a member duly designated by him.
Section 2: Date, time, place, fees, pairings and schedules of tournaments shall be determined and arranged by the tournament committee in coordination with the golf course venue negotiator approved by the board of directors.
Section 3: At least 10 major tournament games will be scheduled for the whole year and a member must participate in 5 tournaments or more in order to be eligible to play in the club championship.
Section 4: For every tournament, championship trophies for class A, B and C will be awarded to the player who garnered the lowest net score, runner up trophies for the second, and a champion trophy for the guests.
Section 5: Any player who wishes to join the scheduled tournament must signify his intention at least 1 week before the game. However if due to unavoidable cir*****stances and he intend to back out, he can do so without penalty if he notify the tournament committee chairperson 3 days before the scheduled game, if not he has to pay full amount of the green fees.
Section 6. A trophy for the player of the year shall be awarded to the member who has garnered the highest number of points after the scheduled tournaments, champion of all champions trophy for the champion, and a perpetual trophy + a replica for the club champion.
Article V1 - MEMBERSHIP FEES AND DUES:
Section 1: A lifetime membership of $100 is collected from every member and is refundable after a year if ever he wishes to terminate his membership, however some amount may be deducted for the club expenses.
ARTICLE V11 - AMENDMENTS TO BY-LAWS:
Section 1. The board of Directors shall have the power to repeal or amend any of these By-laws provided that such action shall not be effective until approved by a majority vote of the members of the FILAM NJ GOLFERS ASSOCIATION.
